Terms of Sale

1. Purpose and scope

These Terms of Sale (the "Terms") govern the contractual relationship between:

David Cohen, sole trader (auto-entrepreneur) with a registered office at 1 impasse des Coucielles, 95200 Sarcelles, France, registered under SIREN 512 307 653 / SIRET 512 307 653 00034, VAT not applicable, Article 293 B of the French General Tax Code (the "Provider" or "AudioKit"),

and any person making a purchase on the website https://audiokit.net (the "Customer").

Any order implies unreserved acceptance of these Terms. The Customer declares that they have read and accept them before validating their order, via a dedicated checkbox.

2. Description of services

AudioKit is a web application providing a toolbox of audio-processing tools running in the user's browser.

  • Free offer: access to the tools within a daily usage quota, with no account required.
  • Premium offer: unlimited access to the tools and premium features, in the form of a paid subscription.

The essential characteristics of the services are described on the website at the time of subscription.

3. Pricing

The prices of the Premium subscription are shown on the website, in euros. VAT is not applicable (Article 293 B of the French General Tax Code): the prices shown are the final prices paid by the Customer, with no VAT added or charged.

  • Monthly subscription: €9.90 per month
  • Annual subscription: €99 per year

In addition to the subscription, the Customer may purchase AI credit packs (from €5.99), as described in Article 4 ("AI Credits").

VAT is not applicable, Article 293 B of the French General Tax Code; no VAT is shown on invoices. The Provider reserves the right to change its prices at any time. New prices will apply to subscriptions taken out or renewed after they come into effect. The Customer will be informed in advance for renewals.

4. AI Credits

Certain premium features powered by artificial intelligence (such as voice/instrumental separation, voice enhancement, cover-art generation, lyrics transcription, AI-music detection, and others) consume "credits".

There are two distinct types of credits, each with its own rules:

  • Included monthly credits: the Premium subscription includes an allowance of 100 credits per month. This allowance resets at the beginning of each monthly period. Unused monthly credits are not carried over to the following month.
  • Purchased credits (packs): the Customer may purchase additional credit packs (currently: 100 credits for €5.99, or 250 credits for €11.99; VAT not applicable, Article 293 B of the French General Tax Code). Purchased credits do not expire, accumulate, and remain acquired by the Customer, including after the subscription ends.

Order of consumption: included monthly credits are consumed first; purchased credits are only drawn upon once the monthly allowance has been used up.

No refund: once consumed (the AI processing having been carried out), credits are neither refundable nor recoverable. Purchased credits not yet consumed are subject to the right-of-withdrawal regime described in Article 6 (where applicable).

The credit cost of each operation is shown on the website at the time of use. The Provider reserves the right to adjust the credit cost of operations and the price of packs, with no retroactive effect on credits already purchased.

5. Subscription and payment

Subscription to the Premium offer is carried out online by creating an account and choosing a plan.

Payment is securely processed by our payment provider Stripe. David Cohen never has access to the Customer's full bank card details.

The subscription renews automatically at the end of each term (monthly or annual) for an identical period, unless cancelled by the Customer under the conditions of Article 8.

6. Right of withdrawal

In accordance with Article L.221-18 of the French Consumer Code, a consumer Customer is in principle entitled to a fourteen (14) day period to exercise their right of withdrawal from the conclusion of the contract.

Waiver for digital content and services: By subscribing to the Premium offer and accessing the digital service immediately, the Customer expressly requests the performance of the service before the end of the withdrawal period and acknowledges waiving their right of withdrawal once the service has been fully performed, in accordance with Article L.221-28 of the French Consumer Code.

A model withdrawal form is provided in the appendix to these Terms.

7. Duration and renewal

The subscription is taken out for the chosen duration (monthly or annual) and renews automatically by tacit renewal for successive periods of the same duration, until cancellation.

8. Cancellation

The Customer may cancel their subscription at any time.

In accordance with Article L.215-1-1 of the French Consumer Code (in force since 1 June 2023), a free and easily accessible online cancellation feature is made available to the Customer directly from their personal account on the website.

Cancellation takes effect at the end of the current subscription period. No pro-rata refund is made for the period already started, unless a mandatory legal provision states otherwise. The Customer retains access to the Premium service until the end of the period already paid for.

9. Refund policy

Amounts paid for a subscription period already started are non-refundable, except:

  • valid exercise of the right of withdrawal (Article 6), where applicable;
  • major and lasting malfunction of the service attributable to the Provider and not resolved within a reasonable time;
  • mandatory legal provision.

10. Service availability

David Cohen strives to ensure the service is available 24/7, subject to maintenance operations and force majeure. David Cohen cannot be held responsible for interruptions or malfunctions beyond its control. The service is provided under a best-efforts obligation.

11. Liability

AudioKit provides audio-processing tools. The Customer is solely responsible for the files they process, for the rights they hold over those files, and for the use they make of the results. David Cohen cannot be held responsible for any use of the tools that infringes third-party rights (in particular copyright).

As audio processing takes place in the Customer's browser, files are not uploaded to David Cohen's servers, unless otherwise indicated for certain features.

12. Personal data

The processing of the Customer's personal data is described in the Privacy Policy available on the website, compliant with the GDPR.

13. Complaints and mediation

For any complaint, the Customer may contact David Cohen at hello@audiokit.net.

In accordance with Articles L.611-1 et seq. of the French Consumer Code, a consumer Customer may use a consumer mediator free of charge to seek an amicable resolution of a dispute.

14. Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute, and failing an amicable resolution, the French courts shall have jurisdiction, subject to the mandatory jurisdiction rules applicable to consumers.
